Handwritten agreement made between Ben Holladay (1819-1887) and Henry Villard (1835-1900) to sell and transfer a majority of shares of the Oregon and California Railroad Company to German shareholders represented by Villard. The Oregon and California Railroad Company, initially named the Oregon Central Railroad, was formed following the passage of the Oregon and California Railroad Act in 1866, and was managed by Holladay until this agreement.
